Commercial Software License Agreement & Terms of Service

1. Grant of Commercial License

Subject to full compliance with this Agreement and payment of applicable commercial license fees, AsthaX grants the purchasing customer ("Licensee") a non-exclusive, non-transferable, revocable commercial license to access and use AsthaX CRM solely for internal business operations.

2. Strict Prohibition of Third-Party Reselling & Redistribution

Under no circumstances shall the Licensee or any affiliated user:

• Sell, resell, lease, rent, sublicense, assign, or transfer ownership of the software, database schemas, or Docker container images to any third party.
• Bundle, host, or offer this application as a commercial Software-as-a-Service (SaaS) white-label product for third-party resale without explicit written consent from AsthaX.
• Publicly disclose, publish, or share proprietary source code files, Docker definitions, or internal API mechanisms.

3. Server Deployment & IP Binding Restriction

The Licensee is authorized to deploy the application only on designated server IP addresses or domain infrastructure registered during purchase. Independent deployment, cloning, or migration to unauthorized servers or unauthorized third-party infrastructure without prior written authorization is strictly prohibited and constitutes a breach of copyright laws.

4. Prohibition of Reverse Engineering & Decompilation

Licensee shall not reverse-engineer, decompile, disassemble, bypass licensing mechanisms, or attempt to derive the underlying source code of compiled modules. All title, ownership, copyrights, trademarks, and intellectual property rights in and to AsthaX CRM remain exclusively with AsthaX.

5. Service Availability, Backups & Maintenance

While AsthaX CRM provides automated backup tools and system telemetry monitoring, the Licensee is responsible for maintaining active server backups. AsthaX does not guarantee uninterrupted operation if third-party server infrastructure, SMS gateways, or GPSWOX server APIs experience downtime.

6. Limitation of Liability & Warranty Disclaimer

The software is provided "AS IS" without warranties of any kind. In no event shall AsthaX or its developers be liable for indirect, incidental, or consequential damages (including data loss, hardware failure, or business interruption).

7. License Termination

Any violation of the anti-reselling, unauthorized deployment, or intellectual property clauses will result in immediate termination of the commercial license, cancellation of technical support, and potential legal action under applicable copyright and commercial software protection laws.
